AOL® "12 Days of Christmas" Holiday Contest OFFICIAL RULES & REGULATIONS
ELIGIBILITY:
The AOL "12 Days of Christmas" Holiday Contest (the "Contest") begins at 8:00 AM EST on Thursday, December 8th, 2005 and ends at 11:59pm Sunday,
December 25th, 2005 (the "Contest Period"). The Contest is sponsored by AOL Canada Inc. ("AOL"), 55 St. Clair Avenue West, 7th Floor, Toronto,
Ontario, M4V 2Y7 (the "Sponsor"). By entering the Contest, participants agree to be bound by the complete rules set forth herein (the "Official Rules").
The Contest is open to all residents of Canada, excluding residents of Quebec, who are eighteen (18) years of age or older and are members of
the AOL Service. In order to be eligible, entrants must enter a "Code Word" by locating it along with the hidden AOL "Running Man" on
the AOL service. An AOL Canada member can enter up to 12 times per AOL account (including all Screen Names affiliated with that account)
that are 18 years of age or older, according to Schedule A below, in correspondence with the "12 Days of Christmas". "Code Words" and the
location of the hidden "Running Man" will change 12 times, always on a week-day, between December 8th, 2005 and December 25th, 2005.
Each time the "Code Word" and the location of the "Running Man" change, the member may enter once again. In addition, all AOL Canada
members who enter the contest between December 8th, 2005 and December 25th, 2005 will have their name entered once into a Grand
Prize Cash Draw of $10,000.
Employees, contractors, shareholders, officers, directors, agents, representatives and the immediate family members of Sponsor, their
respective parent companies, affiliates, subsidiaries, advertising and promotion agencies and promotional partners are ineligible to
participate. The Contest is subject to all applicable federal and provincial laws and is void where prohibited by law.
HOW TO ENTER: You may enter the Contest by

(a) |  | accessing the AOL Keyword: "12 Days" on the Canadian version of the AOL brand Internet online service and submitting an online
entry form, which will include your name, address, phone numbers and the "Code Word" identifying the located AOL "Running Man".
This must be submitted no later than 11:59 p.m. EST on the days outlined in Schedule A below.

| (b) |  | mailing a letter containing your name, address, phone number, e-mail address and age, along with the "Code Word" identifying
where you located the AOL "Running Man". Send your letter in an envelope bearing sufficient postage to: AOL Canada's "12 Days
of Christmas" Holiday Contest, 55 St. Clair Avenue West, 7th Floor, Toronto, ON, M4V 2Y7. The Sponsor is not responsible for
lost, late, illegible incomplete misdirected or postage due, mail entries. Mail entries will be added to the Day 12 Contest draw in Schedule A below (11:59 p.m. EST Sunday, December 25th, 2005) and must have their entry received at the address above no later than Friday, December 23rd, 2005.

Dates for each of the 12 draws are outlined below. The 12 winners will be selected the following business day at 9:00 a.m. EST.

Day 4: Tuesday, December 13th, 2005
Day 5: Wednesday, December 14th, 2005

Day 9: Tuesday, December 20th, 2005
Day 10: Wednesday, December 21st, 2005
Day 11: Thursday, December 22nd, 2005
Day 12: Friday, December 23rd, 2005 until 11:59pm EST on Sunday, December 25th, 2005 (the "Contest Closing Date").

NO PURCHASE NECESSARY
By entering this Contest all entrants consent to the collection, use and disclosure of their personal information (information that identifies
them as an individual, for example, telephone number, name and address) by AOL for the purpose of publicizing, running and administering this
Contest and awarding the 12 "Free year of AOL" prizes and the one, Grand Prize Cash Draw of $10,000. AOL will store personal information
for approximately one year. AOL will not sell this Information to third parties and may transmit this information for the purpose of

"12 Days of Christmas" PRIZES
The 12 winner(s) will be selected by random draw according to Schedule A as outlined above. The winners will win the following prize:

One full year (2006) of FREE AOL Canada Internet service with the choice of either dial-up, AOL Broadband or AOL Max (which
sits on top of another high speed connection). Winners who wish to upgrade to the AOL Broadband service must have a residential phone
number which can be provisioned for the AOL Broadband (DSL) high-speed service.

Communication fees, surcharges and premium service fees are not included in the "FREE Year of AOL" Prize. The Prize covers the
monthly subscription cost for one full year of AOL dial-up, AOL Broadband or AOL Max service. The choice of which service is at the sole
discretion of the Winner(s).

GRAND PRIZE
One (1) Grand Prize Cash Draw of $10,000 will be awarded to an AOL Canada member from the entire pool of entries from the "12 Days of Christmas"
Contest above. One entry will be made by AOL Canada per account, regardless of how many times the member entered to win the "12 Days of Christmas"
Contest.
The winner will be asked to answer a skill-testing question and to fax back a signed affidavit to AOL Canada Inc. prior to having any prize
awarded to them.
No cash or prize substitution is allowed except at the discretion of Sponsor. Sponsor reserves the right to substitute the grand prize with one
of equal or greater value.
NOTIFICATION AND CLAIM OF PRIZE
The 12 "Free AOL" Prize Winners will be selected according to the "12 Days of Christmas" Contest schedule outlined in Schedule A. At the end of each draw period, all the names for that period are drawn,
from all eligible entries received by the Sponsor for that specific "Day"
during the Contest Period. The winners will be contacted and notified by e-mail and/or telephone within one (1) business day of their
selection. E-mail notification will include the AOL form of Affidavit, License and Release. To qualify as a winner and claim the "Free
Year of AOL" Prize, the selected entrant must be i) an AOL Service member in good standing and ii) have complied with the Official Rules
(be eligible, have correctly answered unaided a skill-testing mathematical question, and complete, execute and return to AOL Canada Inc.
the AOL form of Affidavit, License and Release Agreement). The selected entrant must contact AOL by return fax or e-mail within two (2)
business days of notification to claim their prize. If the selected entrant does not comply with the Official Rules or does not respond
within the required time, such selected entrant will be disqualified and an alternate entrant will be selected. Such alternate entrant
will be notified by e-mail within one (1) business day of their selection, which e-mail will include the AOL form of Affidavit, License
and Release. To qualify as a winner and claim the "Free Year of AOL" Prize, the alternate entrant must be i) an AOL Service member in
good standing and ii) have complied with the Official Rules; i.e. be eligible, have correctly answered unaided a skill-testing mathematical
question, and complete, execute and return to AOL Canada Inc. the AOL form of Affidavit, License and Release Agreement. The alternate entrant
must contact AOL by return fax or e-mail within two (2) business days of notification to claim their prize. If the alternate entrant does
not comply with the Official Rules or does not respond within the required time, such alternate entrant will be disqualified and a further
alternate entrant will be selected, following the same process. The Winner(s) will then be announced online and added to the
"Winners"
page at AOL Keyword: "12 Days". This will happen 12 times for 12 different winners selected during the period from December 8th, 2005 through
December 25th, 2005.
The Grand Prize Cash Draw will be awarded on or after Tuesday, January 3rd, 2006. The name of the Grand Prize Winner will be posted
on the AOL Internet online service at AOL Keyword: "12 Days" on the Contest "Main" page and on the "Winners" page as early as January 5th, 2006.
Odds of winning are determined by the number of eligible entries received. Prize notifications returned as undeliverable as addressed, or
the failure of the selected entrant to comply with the Official Rules, prove eligibility or claim the prize, will result in an alternative
entrant being selected. In the event no selected entrant or alternate selected entrant is able to accept the 12, "FREE Year of AOL" Prizes
or the Grand Prize by January 31st, 2006, Sponsor reserves the right to use or dispose of the Prizes as they in their discretion see fit.
Prizes are non-transferable.
MISCELLANEOUS
Communication fees, surcharges and premium service fees are not included in the "FREE Year of AOL" Prize. The Prize covers the
monthly subscription cost for one full year of AOL dial-up, AOL Broadband or AOL Max service. The choice of which service is at
the sole discretion of the Winner(s). In order to choose the AOL Broadband high-speed service, the member must have a residential
phone number that can be provisioned for DSL at the time of winning the contest.
Decisions of Sponsor shall be final in all matters relating to this Contest. Sponsor is not in any way liable for damage, loss or injury
resulting from computer malfunctions, misdirected or incomplete entries or acceptance and use of the prize.
All entries become the property of Sponsor and will not be returned. To the maximum extent permitted by applicable law, each Winner shall
grant to Sponsor a non-exclusive irrevocable license and right to broadcast, publish and disseminate or otherwise use or reproduce Winner's
photograph, voice, name, likeness, submission and addresses (city and province only) (the "Materials") in whole or in part and in connection
with the advertising, exhibiting, marketing, promotion and exploitation of the business of the Sponsor in any manner, in all media throughout
the world at no compensation to the Winner. Winner shall also agree that Sponsor be entitled to edit, alter, modify, rearrange, add material
to, remove material from or make such other changes to the Materials as the Sponsor deems appropriate in its sole discretion. Participants
assume all liability for injuries caused or claimed to be caused by participation in this Contest, or the use or misuse of any prizes granted
herein. The Sponsor reserves the right to cancel, amend or suspend this Contest at any time and without prior notice should virus, bugs,
computer, electronic, system malfunction, or other causes beyond the control of the Sponsor corrupt the administration, security or proper
play of the Contest. Scheduling of the Contest may be modified at any time. To the maximum extent permitted by applicable law, Sponsor
assumes no responsibility whatsoever for any incorrect or inaccurate capture of entry information, technical malfunctions, human or technical
error, printing errors, lost, delayed or garbled data or transmissions, interruption, deletion, failure, negligence or any other error,
omission, delay or defect, including any problems or technical malfunction of any telecommunication networks or links, computer systems,
servers, providers, computer equipment or software that may arise or occur in connection with the Contest.
The Contest is available in English language only. The Contest is not open to residents of Quebec. Any litigation brought by a resident of
Quebec or an entrant originating its entry in Quebec respecting the conduct or organization of this contest may be submitted to the Régie
des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only
for the purpose of helping the parties read a settlement. With respect to all other participants, this Contest is subject to applicable
federal, provincial and municipal laws. In the event of a dispute as to the identity of a Winner based on such Winner's e-mail address,
the prize will be awarded to the registered account holder (based on the registration data of AOL Canada Inc.) of the e-mail address used
for the purpose of such entry. Any attempt by anyone to deliberately damage this web site or undermine the lawful operation of this
Contest is a violation under criminal and civil laws. Should any such attempt be made, the Sponsor reserves the right to seek damages
or other remedies from any such person(s) responsible for such attempt to the fullest extent permitted by law.
All additional costs in excess of, or associated with, including federal and or provincial taxes and GST, the $10,000 Grand Prize Cash Draw
or the annual subscription costs relating to the AOL dial-up, AOL Broadband or AOL Max service, are the sole responsibility of the winner.
Any litigation respecting this Contest must be commenced in the Province of Ontario, Canada.
